These Terms & Conditions ("Terms") govern your access to and use of the Zoreli mobile application (the "App") and related services (collectively, the "Service"). By downloading, installing or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Definitions

Owner: The individual developer who owns and operates the App.

User: Any person who downloads, registers, or uses the App (you).

User Content: Any business-card images, extracted text, enriched data, or other content you submit or receive through the App.

Third-Party Services: Image recognition providers, AI tools, OpenAI's API or other large language models APIs, AI search APIs, Google Firebase, iCloud, and any other service integrated by the App.

2. License Grant

Subject to your compliance with these Terms, the Owner grants you a limited, revocable, non-exclusive, non-transferable license to install and use the App on your compatible device solely for individual professional and personal purposes in accordance with these Terms.

3. Account Registration & Responsibility

Eligibility: You must be at least 18 years old.

Registration Data: You agree to provide true, accurate and complete information when creating an account. You remain responsible for protecting your credentials and for all activity under your account. We store your email, provider ID (Google/Apple/Facebook), and (if used) hashed password securely in the App cloud storage, for example, Google Firebase.

User Controller Role: You acknowledge that for any third-party personal data (such as business card information) you upload, you act as the "Data Controller" and we act solely as a "Data Processor" as defined under applicable data protection laws. You are responsible for obtaining all necessary consents and rights to upload and process such data.

4. Description of Service & Consent

By using the App you expressly consent to:

Authentication and storage of your user ID, email, and (if used) password in the App cloud storage, for example, Google Firebase.
Uploading business-card images to commercial image and visual text recognition providers.
Enrichment of extracted data via AI-powered web-search APIs.
Storage of all User Content on your personal iCloud (or equivalent), as governed by your iCloud agreement.

By agreeing to these Terms, you also agree to our Privacy Policy, which forms an integral part of this agreement.

5. User Content & Indemnity

Important Notice: You are solely responsible for your User Content. You agree to defend, indemnify and hold the Owner harmless from any claim, demand, loss or liability (including legal fees) arising out of your breach of these Terms or your unlawful use of User Content or the Service.

The App does not pre-screen or monitor User Content. However, we may remove or restrict access to content that we are informed is unlawful, infringes rights, or violates these Terms.

6. Prohibited Conduct

You agree not to:

Reverse-engineer, decompile or otherwise attempt to derive the App's source code
Use the App to infringe any intellectual-property or privacy rights
Resell, sublicense, distribute or exploit the App or its output for commercial purposes
Circumvent any technical or contractual restrictions in the App
Use any robot, spider, scraper, or automated means to access or extract data from the App
Export or re-export any portion of the App in violation of applicable export control laws

7. Fees & Payment

Free Trial: New users can try the app for free during a trial period, which is limited to 10 scans or 14 days, whichever comes first.

Subscription: After the trial ends, users may purchase a monthly or annual subscription to continue using the service.

All payments and subscriptions are managed through the App Store or Google Play. The Owner is not responsible for billing, refund, or payment processing issues managed by those platforms.

8. Termination

By You: You may delete your account and all associated data at any time via the App.

By Owner: We may suspend or terminate your access at our discretion, including for violation of these Terms or applicable law.

9. Disclaimers

As-Is/Warranty Disclaimer: The App and Service are provided "as is" and "as available," without warranty of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability.

AI-Generated Content: The App may use large language models APIs (e.g. OpenAI's ChatGPT) to extract or enrich data. Such AI-generated outputs are provided "as is" and may be incorrect, incomplete or out of date.

Third-Party Disclaimer: We do not control—and disclaim all liability for—the practices, accuracy or policies of any Third-Party Services.

10. Limitation of Liability

The Owner is not liable for any damages or losses resulting from your use of the app. To the fullest extent permitted by law, the Owner's total aggregate liability arising from or relating to your use of the App or these Terms shall not exceed €50.

11. Force Majeure

The Owner is not liable for any failure or delay due to causes beyond reasonable control, including acts of God, government regulations, strikes, natural disasters, or denial-of-service attacks.

12. Modifications

We may modify these Terms at any time. Major changes will be highlighted in-app with an opportunity to review before continued use. Your continued use after the effective date constitutes acceptance.

13. Severability & Assignment

If any provision is held invalid, the remainder of these Terms remain in full force. You may not assign your rights or obligations without our prior written consent; we may assign without restriction.

14. Intellectual Property

All rights, title and interest in and to the App, including all content, features, and functionality (excluding User Content), are and will remain the exclusive property of the Owner. You may not use our trademarks, logos, or brand without prior written consent.

15. No Waiver

Failure by the Owner to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.

16. Survival

Sections regarding intellectual property, User Content responsibility, disclaimers, limitations of liability, indemnity, and governing law shall survive termination of these Terms.

17. Data Processing Agreement

If you are located in the European Economic Area (EEA) or otherwise subject to the GDPR, you may request a Data Processing Agreement (DPA) from the Owner to document our roles and obligations under Article 28 of the GDPR. To obtain a DPA, please contact us at andrews.dev.studio@gmail.com.

18. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Switzerland, excluding conflict of laws principles. Any dispute shall be exclusively subject to the courts of Switzerland.

19. Delete Account and Data

To delete your account and all associated data, please tap the "Uncheck and delete all my data" button located in the "Privacy & Consent" section of the app's Settings.
